TERMS & CONDITIONS

Note all orders, either signed, issuance of purchase order and/or verbal are subject to the MEE selling policy terms listed herein.

Disclaimer:

Please note that all wire lengths, equipment size and types are based on information provided to Marina Electrical Equipment, Inc. (MEE) by others. Customer assumes all responsibility to verify all equipment and wire lengths before purchasing any material. Customer assumes all responsibility to determine that all quoted equipment meets all appropriate codes and standards. All equipment prices are valid for 7 days unless otherwise noted and all wire and cable prices are valid for 1 day unless otherwise noted.

Terms of Production:

All orders, either signed, issuance of purchase orders and/or verbal orders shall be released for immediate production to be shipped and invoiced upon completion. Customer agrees to accept delivery or arrange storage for completed orders.

Storage:

All orders shall be limited to complimentary MEE warehouse storage for no more than five (5) business days after date of invoice. Long-term storage fees shall be charged at .1% of total invoice per day. All orders are invoiced upon completion of production.

Terms of Payment:

Purchaser agrees that any unpaid balance past due shall be charged 2% per month interest (24% annum). Purchaser agrees that invoices not paid within 60 days will be subject to collection and or legal fee and the placement of a mechanics lien on the end-use facility for the unpaid balance. Drop-ship items: Net 15 Days for customers with open terms.

Foreign Sales Orders:

All orders to be shipped outside the Continental United States shall not ship until 100% of the invoice price is paid in full. All funds in U.S. Dollars and clear our bank prior to shipment. All orders outside the U.S. require a signed confirmation and/or purchase order and 50% deposit of the quoted price. Freight outside the U.S., customs brokerage, tariffs, etc. is the responsibility of the purchaser. In order to expedite production and shipment, MEE recommends payment be made by wire transfer per the wire transfer instructions, available by request.

Escalation Clause:

If during the performance of this contract, the price of stainless steel, copper, or polycarbonate resin significantly increases, through no fault of MEE, the price of the products under this agreement shall be adjusted by an amount necessary to cover any such significant price increases. As used herein, a significant price increase shall mean any increase exceeding five percent (5%) experienced by MEE from the date of the contract signing and or buyer’s issuance of a purchase order. Such price increases shall be documented through quotations, invoices, or receipts. The base price for the materials above shall be determined by the current market price as of the date of the contract signing/buyer’s purchase order. Where the delivery of equipment under this agreement is delayed, through no fault of MEE, as a result of Force Majeure or the shortage or unavailability, MEE shall not be liable for any additional costs or damages associated with such delays.

Return/Cancellation Policy:

Due to the customization of these products, there is a limited 30-day Return/Repair Policy. The decision to repair or replace the item(s) will be determined once the item has been inspected. All authorized returns will be charged a 35% re-stocking fee. Custom orders are ONLY returnable for replacement or repair. Custom orders include, but are not limited to: GTX Unit Substations, GTX Super-Yacht Center Substations, Panelboards and Customized Power Pedestals. MEE must be contacted before returning any order. Note customer is responsible for the cost of shipping returns or exchanges. Cancelled orders are subject to a 35% re-stocking fee depending on production status. Returns of used circuit breakers and receptacles are not accepted.

Freight:

All freight shipments shall be Prepaid & Allowed within the Contiguous United States via LTL, Inco Term EXW. Additional accessorial freight charges requested or required for delivery will be invoiced to the customer. If MEE is unaware of the accessorial(s) and the carrier deems an accessorial is necessary at the time of delivery or re-delivery, MEE will invoice the purchaser the additional fees at time of shipment or after delivery (based on carrier’s invoice). Examples of accessorial freight charges include, but are not limited to lift gates, delivery appointments, residential delivery, secured or limited access, expedited service, guaranteed delivery, dedicated carrier, freight held at carrier’s terminals or hubs, construction site delivery, destination changes, etc.

Small Parcel Shipping & Handling:

All small parcel shipments shall be prepaid and added to the customer invoice. Standard small parcel shipments will be made via UPS ground delivery service. Expedited services may be available upon request and charges applied to the customer invoice.

Ground Fault Protection Notice:

NEC Article 555 and CSA Section 78 require ground-fault protection for feeder and branch circuit conductors, as well as for receptacles providing shore power. Customer assumes responsibility to ensure that ordered equipment meets all appropriate codes and standards.

Warranty Policy:

Marina Electrical Equipment, Inc. (MEE) warrants that the main housing and attached parts (i.e. top, lens, doors, receptacle faceplates, circuit breaker plates, and mounting base plates) will be free from failure resulting from defects in material and/or workmanship and are covered by a limited warranty of one (1) year from date of invoice. Should any of the above parts fail to comply with the above-mentioned warranty, MEE will either repair or replace the defective part(s) or credit the purchaser for the purchase price of the part. This warranty is voided if any petroleum-based solvent is used anywhere on or near any of the polycarbonate or powder coated parts. These parts include, but may not be limited to enclosures, tops, lenses, doors, receptacle faceplates, circuit breaker plates, terminal blocks, and the mounting base plates, etc. Internal Components: MEE warrants that all internal electrical components shall be covered by a limited warranty of one (1) year from date of invoice. Items covered include receptacles, circuit breakers, photocells, lamp holders, coil transformers, counters, wiring harnesses, etc. Should any of the above parts fail to comply with this warranty policy, MEE will coordinate the repair or replacement of the defective part(s) with the respective supplier. Solid-State Electric kWh Monitors: MEE warrants that the International Intelligent Meter (IIM) solid-state electric kWh monitors will be free from failure resulting from defects in material and/or workmanship and are covered for one (1) year from date of invoice. Although the IIM meters contain integrated surge protection, MEE and IIM will not warrant the product against severe over-voltage conditions such as lightning strikes or abnormal utility surges. Should an electric monitor fail to comply with the above-mentioned warranty, MEE will either repair or replace the defective part(s)/components or credit the purchaser for the purchase price of the part. This warranty is voided if the damage to any or all of the components is the result of abuse, misuse, or Force Majeure. This warranty is voided if the factory seal is broken or manipulated. This warranty policy does not cover damage or failure resulting from abuse, misuse, negligence, or Force Majeure. All warranty claims must be made in writing and all defective products shall be returned to MEE for evaluation unless stated otherwise by MEE. MEE will not be responsible for reimbursing the purchaser for any sort of expense incurred by the purchaser as a result of the repair or replacement of a warranty claim.
